About the job
Reporting to the Head of Legal Risk and Compliance, the Deputy Company Secretary will support SWIP with all company secretarial duties including compliance with statutory and regulatory requirements relating to all SWIP subsidiaries, Special Purpose Vehicles (SPV’s), Unit Trusts and Open Ended Investment Companies (OEIC’s).
What will you be doing?
- You will act as the main SWIP liaison contact for certain funds
- Establish and maintain good relationships with all directors and major shareholders of SWIP’s Funds
- Organise and attend all Fund board meetings (in person wherever possible)
- Establish and maintain relationships with local service providers
- Identify and analyse shareholder registers
- Monitor and review regulatory and statutory developments e.g. Companies Act 2006, Revised Combined Code, etc
- Continue to develop relationships with other business areas including SWIP Executive, the Chief Executive Officer’s Office, Property and Accounting
- Manage corporate approval process / project work and Corporate Governance issues
- Maintain Group structure chart and SPV list
- Check and sign off all annual returns and Companies House forms
- Manage the SWIP corporate calendar and POA renewal schedule
What Skills/Experience will you need?
- Previous Company Secretarial experience in a private or public company is essential, and if you are professionally qualified or studying towards a qualification as a Company Secretary, this would be deemed highly desirable
- Knowledge of and ability to provide guidance on relevant company legislation, company secretarial practice and regulations (covering both UK and offshore) is essential
- Experience of routine company secretarial activities e.g. dormant accounts, annual returns, etc
- Understanding of decision making at senior management level
- Experience of dealing with executives at a senior level
- First class organisational skills and good attention to detail
- Excellent inter-personal skills – to communicate clearly and effectively at all levels (both internally and externally)
- Ability of handling sensitive and confidential matters with discretion, diplomacy and an ability to inspire trust
- A pro-active and flexible attitude with the ability to demonstrate initiative, attention to detail and reliability
- Ability to work under extreme pressure, delivering high quality to tight timescales
- Good team working skills
- Experience of administration and an office environment
- Computer literate and fully conversant with all MS Office packages
